JPMorgan plans jump notes with autocall feature on three tech stocks

Morgantown, W.Va., July 24 – JPMorgan Chase Financial Co. LLC plans to price 0% jump securities with autocallable feature due July 28, 2022 linked to the common stock of Microsoft Corp., the class C capital stock of Alphabet Inc. and the class A common stock of Facebook, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by JPMorgan Chase & Co.

The notes will be called at par plus an annual premium of 11% if each stock closes at or above its initial price on any annual determination date.

If the notes have not been called, the payout at maturity will be par plus at least 55%, unless any stock finishes below its 60% downside threshold price, in which case investors will be fully exposed to the decline of the worst performing stock.

J.P. Morgan Securities LLC is the agent with Morgan Stanley Wealth Management handling distribution.

The notes will price on July 25.

The Cusip number is 48129G224.
