Energizer offers €650 million senior notes due 2029

Concord, N.H., June 9 – Energizer Gamma Acquisition BV, a wholly owned subsidiary of Energizer Holdings, Inc., is offering €650 million of senior notes due 2029 under Rule 144A and Regulation S, according to a company news release.

The new notes will be guaranteed jointly and severally by the company and certain of the company’s domestic restricted subsidiaries.

The proceeds of the deal together with cash on hand will be used to fund the redemption of Energizer’s €650 million of 4 5/8% notes due 2026, for which a conditional redemption is being made concurrently with the pricing of the new notes.

The existing notes will be redeemed at par plus a make-whole premium and accrued and unpaid interest on July 9.

The battery maker is based in St. Louis.
