Emageon shareholders OK deal with Health Systems Solutions

Charlotte, N.C., Dec. 18 - Emageon Inc. shareholders voted to approve the company's proposed merger with Health Systems Solutions, Inc. at a special meeting on Wednesday.

A closing date for the merger has not been determined, an Emageon news release said.

Health Systems agreed in October to acquire Emageon for $2.85 per share in an all-cash transaction valued at approximately $62 million.

Following the merger's close, current Emageon management will continue to operate the business as part of the Health Systems group of companies, it was previously reported.

Health Systems is based in New York and develops technologies and services for the health-care industry.

Birmingham, Ala.-based Emageon provides information technology systems for hospitals, health-care networks and imaging facilities.
