Hewlett-Packard acquires Electronic Data Systems for $13.9 billion

Charlotte, N.C., Aug. 26 - Hewlett-Packard Co. completed its acquisition of Electronic Data Systems Corp. in a $13.9 billion deal first announced in May.

EDS shareholders will receive $25 per share under the companies' merger agreement, it was previously reported.

According to HP, the acquisition is, by value, the largest in the IT services sector and the second largest in the technology industry, following HP's acquisition of Compaq in 2002.

HP said its technology solutions group will shift its outsourcing services operations, as well as part of its consulting and integration activities, to EDS.

EDS, an HP company, will be lead by former EDS chairman, president and chief executive officer Ron Rittenmeyer and based in Plano, Texas.

Reporting to Rittenmeyer will be:

• Michael Coomer, senior vice president, Asia Pacific and Japan, who held a similar role at EDS;

• Joe Eazor, senior vice president, transformation, previously responsible for corporate strategy and business development at EDS;

• Bobby Grisham, senior vice president, global sales, who held a similar role at EDS;

• Jeff Kelly, senior vice president, Americas, who held a similar role at EDS;

• Mike Koehler, senior vice president, infrastructure technology outsourcing and business process outsourcing, who held a similar role at EDS;

• Andy Mattes, senior vice president, applications services, previously senior vice president, HP outsourcing services;

• Maureen McCaffrey, vice president, worldwide marketing, who held a similar role at EDS;

• Dennis Stolkey, senior vice president, U.S. public sector, who held a similar role at EDS; and

• Bill Thomas, senior vice president, Europe, Middle East and Africa, who held a similar role at EDS.

EDS is a technology services company based in Plano, Texas.

HP is a Palo Alto, Calif., computer, printing and imaging technology company.
