By Paul A. Harris

St. Louis, July 23 - Alderwoods Group Inc. plans to launch an offering of $200 million of eight-year senior notes (B) late in the week of July 26, according to a syndicate source.

Banc of America Securities and Morgan Stanley will be joint bookrunners for the Rule 144A offering.

The notes will come with four years of call protection.

The company is also obtaining a new term loan.

Proceeds will be used to fund the tender for the company's 12¼% senior notes due 2009 and to repay a subordinated loan due 2005.

The company is a Cincinnati, Ohio, funeral home and cemetery operator, formerly the Loewen Group.
