Aldabra 2 sets voting date for buyout of Boise Cascade packaging, paper businesses

Charlotte, N.C., Jan. 7 - Aldabra 2 Acquisition Corp. will hold a special meeting of shareholders on Feb. 5 at 11 a.m. ET in New York.

Shareholders of record as of Jan. 16 will be asked to vote on the company's proposed acquisition of Boise Cascade, LLC's packaging and paper manufacturing businesses.

In September, Aldabra agreed to acquire Boise Cascade's Boise White Paper, LLC, Boise Packaging & Newsprint, LLC and Boise Cascade Transportation Holdings Corp. in a cash and stock deal valued at $1.625 billion.

Boise Cascade, a Madison Dearborn Partners, LLC portfolio company, will retain 100% ownership of its wood products and building materials distribution businesses.

Aldabra will change its corporate name to Boise Inc. at the transaction's close.

"We are encouraged by the response of the investment community to this acquisition, to Boise's position in the marketplace and to its prospects going forward," Aldabra chairman Nathan Leight said in a company news release.

Boise Cascade manufactures and sells corrugated containers, paper, pulp and newsprint. The company is based in Boise, Idaho.

Aldabra is a special-purpose acquisition corporation based in New York.
