Edge Petroleum to adjourn meeting to Dec. 29; shareholders to decide acquisition by Chaparral Energy

Charlotte, N.C., Dec. 3 - Edge Petroleum Corp. said it will reconvene its Dec. 4 annual meeting and immediately adjourn the meeting to Dec. 29 at 10 a.m. ET to give shareholders time to consider additional information made available by Edge and Chaparral Energy, Inc.

At the Dec. 29 meeting, Edge shareholders will be asked to approve the company's acquisition by Chaparral in an all-stock transaction, an Edge news release said.

The meeting was originally convened on Oct. 23 and adjourned to Dec. 4.

Edge, a Houston-based oil and natural gas company, announced in July that it agreed to be acquired by Chaparral in a deal that will result in Chaparral becoming a publicly traded company.

Under the companies' merger agreement, Edge common stockholders will receive 0.2511 of a share of Chaparral common stock for each share of Edge common stock they own, it was previously reported.

Chaparral is an Oklahoma City-based oil and natural gas production and exploitation company.
