By Paul A. Harris

St. Louis, Sept. 23 - Dycom Industries Inc. will start a roadshow Monday for its $150 million offering of 10-year senior subordinated notes (Ba3/B+), according to a market source.

The roadshow is expected to conclude on Oct. 4, with pricing to follow.

Merrill Lynch & Co. and Goldman Sachs & Co. are the bookrunners for the Rule 144A offering. Wachovia Securities and Friedman Billings Ramsey are the co-managers.

The notes come with five years of call protection.

Proceeds will be used to help fund the repurchase $199.5 million of the company's common stock pursuant to its tender offer and for general corporate purposes.

Dycom is a Palm Beach Gardens, Fla., provider of engineering, construction, maintenance and installation services to telecommunications providers.
