Albemarle collects needed consents to amend Rockwood’s 4.625% notes

New York, Jan. 29 – Albemarle Corp. said it took in consents from holders of a majority of the $1,249,340,000 of 4.625% senior notes due 2020 issued by Rockwood Specialties Group, Inc.

As a result, the company entered into the third supplemental indenture.

As previously reported, Albemarle was seeking to amend the note indenture to substitute Albemarle for Rockwood so that, subject to certain conditions, it has the option to file periodic reports with the Securities and Exchange Commission and make those filings available to investors in the notes instead of Rockwood. All other terms of the notes remain unchanged.

The solicitation ended at 5 p.m. ET on Jan. 28.

Holders who delivered consents will receive a payment of $2.50 per $1,000 principal amount of notes.

BofA Merrill Lynch (888 292-0070 or 980 388-4813) was the solicitation agent. Global Bondholder Services Corp. (866 470-3900 or 212 430-3774 (banks and brokers)) was the information agent and tabulation agent.

Albemarle is a Baton Rouge, La., specialty chemicals company. The company completed its acquisition of Rockwood on Jan. 12 and now guarantees the notes. It launched the solicitation on Jan. 20.
