Albemarle solicits consents to amend 4.625% notes issued by Rockwood

New York, Jan. 20 – Albemarle Corp. said it has begun soliciting consents to amend the $1,249,340,000 of 4.625% senior notes due 2020 issued by Rockwood Specialties Group, Inc.

The company is seeking to amend the note indenture to substitute Albemarle for Rockwood so that, subject to certain conditions, it has the option to file periodic reports with the Securities and Exchange Commission and make those filings available to investors in the notes instead of Rockwood. All other terms of the notes would remain unchanged.

Holders who deliver consents will receive a payment of $2.50 per $1,000 principal amount of notes.

Albemarle needs consents from holders of a majority of the notes.

The solicitation ends at 5 p.m. ET on Jan. 28.

Albemarle is a Baton Rouge, La., specialty chemicals company.

The company completed its acquisition of Rockwood on Jan. 12 and now guarantees the notes.
