New Issue: UBS sells $5.62 million trigger autocallable contingent yield notes with memory on Devon

By William Gullotti

Buffalo, N.Y., Sept. 20 – UBS AG, London Branch priced $5.62 million of trigger autocallable contingent yield notes with memory coupon due Sept. 18, 2025 linked to the common stock of Devon Energy Corp., according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a contingent quarterly coupon at the rate of 13.7% per year if the shares close at or above the coupon barrier, 60% of the initial share price, on the relevant observation date, in which case investors will also receive any previously unpaid coupons.

The notes will be automatically called at par plus the coupon if the shares close at or above the initial share price on any quarterly observation date after six months.

If the notes are not called and the final share price is greater than or equal to the downside threshold level, 60% of the initial share price, the payout at maturity will be par plus all unpaid coupons.

Otherwise, investors will receive a number of shares equal to $1,000 divided by the stock’s initial price or, at the issuer’s option, the cash equivalent.

UBS Financial Services Inc. and UBS Investment Bank are the agents.
