China’s Country Garden solicits consents for five series of notes

Tacoma, Wash., Dec. 1 – Country Garden Holdings Co. Ltd. began a consent solicitation for its 7½% senior notes due 2023, 7¼% senior notes due 2021, 7 7/8% senior notes due 2019, 7½% senior notes due 2019 and 7½% senior notes due 2020.

The company wants to make amendments to the indentures governing the notes that would allow it “to become more adaptive to the fast-changing competition landscape and regulatory environment and increase the flexibility for the company to implement its business plans in the future,” according to a company news release.

The consent solicitation will expire at 11 a.m. ET on Dec. 16 for the 7½% notes due 2019 and 7½% notes due 2020 and 5 p.m. ET on Dec. 16 for the 7½% notes due 2023, 7¼% notes due 2021 and 7 7/8% notes due 2019.

The company is offering a consent fee of $2.50 per $1,000 principal amount of the notes.

For each series of notes, the consent solicitation is conditioned on the receipt of consents from the holders of a majority of that series of notes.
