Ahlstrom seeks to amend €100 million 4 1/8% notes due 2019 for merger

Chicago, Dec. 2 – Ahlstrom Corp. began a consent solicitation for its €100 million of 4 1/8% senior callable notes due Sept. 15, 2019.

Ahlstrom is soliciting consents to amend the terms of the notes related to its planned merger with Munksjo Oyj, according to a company announcement.

The company has scheduled a noteholders meeting for Jan. 10 in Helsinki, Finland.

Holders who send voting instructions in favor of the proposal by 6 a.m. ET on Dec. 23 will receive a fee of 0.5%, and those who are not eligible to receive the early instruction fee but send voting instructions before 6 a.m. ET on Jan. 5 or who attend the meeting and sign a voting instruction by the meeting will receive a fee of 0.1%.

The payment of any instruction fee is contingent on closing of the merger and the proposal being passed at the meeting.
