Ramius forms group to solicit proxies for election to Agilysys board

Charlotte, N.C., June 23 - Ramius LLC and its affiliates entered into an agreement with John Mutch, Steve Tepedino and James Zierick to solicit proxies for the election of Mutch, Tepedino and Zierick to the Agilysys, Inc. board of directors at the company's 2008 annual meeting.

The agreement was announced in a schedule 13D filed with the Securities and Exchange Commission.

According to the filing, Ramius affiliate RCG Starboard Advisors agreed to compensate Mutch, Tepedino and Zierick for being named as and serving as nominees for election as directors.

RCG Starboard agreed to pay Mutch, Tepedino and Zierick $10,000 in cash upon the submission of the nomination letter and $10,000 in cash upon the filing of a definitive proxy statement with the SEC.

The three agreed to use the compensation to acquire securities of Agilysys no later than 14 days after receiving the compensation.

Agilysys is a Boca Raton, Fla., IT solutions provider.
