New Issue: Citigroup prices $5.04 million 10.15% daily observation ELKS on Royal Caribbean

Columbus, Ohio, Feb. 12 – Citigroup Global Markets Holdings Inc. priced $5.04 million of 10.15% daily observation Equity Linked Securities due Feb. 11, 2021 linked to Royal Caribbean Cruises Ltd. shares, according to a 424B2 filing with the Securities and Exchange Commission.

Interest is payable quarterly.

The notes are guaranteed by Citigroup Inc.

The payout at maturity will be par in cash unless the stock finishes below the initial level and ever closes below the downside threshold level, 70% of the initial share price, in which case the payout will be a number of salesforce.com shares equal to $1,000 divided by the initial share price or, at the issuer’s option, the cash equivalent.
