Citigroup plans principal-protected notes linked to iShares MSCI EAFE

Tacoma, Wash., Aug. 13 – Citigroup Global Markets Holdings Inc. plans to price 0% market-linked notes due Sept. 2, 2022 linked to the iShares MSCI EAFE exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

If the ETF return is positive, the payout at maturity will be par plus the ETF return, subject to a maximum return that is expected to be 12% to 14% and will be set at pricing.

If the ETF return is less than or equal to zero, the payout will be par.

The notes will be guaranteed by Citigroup Inc.

Citigroup Global Markets Inc. is the agent.

The notes will price Aug. 30.

The Cusip number is 17327TXY7.
