Citigroup plans notes with minimum payout linked to S&P 500

Tacoma, Wash., July 18 – Citigroup Global Markets Holdings Inc. plans to price 0% market-linked notes due July 22, 2022 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

If the final index level is greater than the initial index level, the payout at maturity will be par plus 66.75% of the index return.

If the final index level is less than the initial index level, investors will be exposed to the decline, subject to a minimum payout of $950 per $1,000 principal amount of notes.

The notes will be guaranteed by Citigroup Inc.

Citigroup Global Markets Inc. is the agent.

The notes will price July 19.

The Cusip number is 17327TSD9.
