Citigroup plans to price trigger autocallable notes linked to S&P 500

Tacoma, Wash., Jan. 24 – Citigroup Global Markets Holdings Inc. plans to price 0% trigger autocallable notes due Jan. 28, 2021 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Citigroup Inc.

Beginning in July 2019, the notes will be automatically called at par of $10 plus the call return rate if the index closes at or above its initial level on any quarterly valuation date. The call return rate is expected to be at least 10% per year and will be set at pricing.

If the notes are not called and the final index level is greater than or equal to the downside threshold, 80% of the initial index level, the payout at maturity will be par. Otherwise, investors will lose 1% for every 1% that the final index level is below the initial level.

Citigroup Global Markets Inc. is the underwriter, and UBS Financial Services Inc. is acting as agent.

The notes will price Jan. 25.
