Citigroup plans capped buffer gears due 2020 tied to iShares MSCI EM

Olympia, Wash., June 6 – Citigroup Global Markets Holdings Inc. plans to price 0% capped buffer gears due June 30, 2020 linked to the iShares MSCI Emerging Markets exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Citigroup Inc.

If the fund return is positive, the payout at maturity will be par plus 2 times the fund return, subject to a maximum gain of 22.1% to 24.1%.

If the fund falls by up to 10%, the payout will be par. Investors will be exposed to any losses if the fund falls beyond the 10% buffer.

Citigroup Global Markets Inc. and UBS Financial Services Inc. are the agents.

The notes will price on June 26.

The Cusip number is 17326K494.
