Citigroup plans buffered notes linked to iShares MSCI Emerging Markets

Tacoma, Wash., July 15 – Citigroup Global Markets Holdings Inc. plans to price 20- to 23-month 0% buffered notes linked to the iShares MSCI Emerging Markets exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Citigroup Inc.

If the ETF return is greater than zero, the payout at maturity will be par plus 160% of the ETF return, subject to a maximum settlement amount that is expected to be $1,217.60 to $1,256.00 per $1,000 principal amount of notes and will be set at pricing. Investors will receive par if the ETF declines by 15% or less and will lose 1.1765% for every 1% that it may decline beyond 15%.

Citigroup Global Markets Inc. is the underwriter.

The notes are expected to price July 25.

The Cusip number is 17324C6X9.
