Citigroup plans seven-year market-linked notes tied to S&P 500

San Luis Obispo, Calif., Aug. 3 – Citigroup Inc. plans to price 0% market-linked notes due Aug. 31, 2022 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The payout at maturity will be par plus any index gain, up to a maximum return of 50% to 60%. The exact cap will be set at pricing.

If the index falls, the payout will be par.

Citigroup Global Markets Inc. is the agent.

The notes will price Aug. 26.

The Cusip number is 17298CDK1.
