New Issue: Citigroup sells $2.22 million buffered autocallable securities tied to S&P 500

Buffalo, N.Y., Aug. 21 – Citigroup Global Markets Holdings Inc. priced $2.22 million of 0% buffered autocallable securities due Aug. 3, 2028 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes will be automatically called at par plus a 19% call premium if the index closes at or above its call level, 95% of its initial level, on July 31, 2025.

If the notes are not called and the index finishes above its initial level, the payout at maturity will be par plus 1.15 times the index gain.

If the index falls by up to 20%, the payout will be par. Otherwise, investors will lose 1% for every 1% of index decline beyond 20%.

Citigroup Global Markets Inc. is the underwriter.
