Columbus, Ohio, Dec. 19 – Citigroup Global Markets Holdings Inc. priced $16 million of 0% trigger Performance Leveraged Upside Securities with autocallable feature due Dec. 18, 2025 linked to the performance of the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.
The notes are guaranteed by Citigroup Inc.
The securities will be called automatically at par plus a 12.8% annualized call premium if the index closes at or above its initial level on an annual call date.
If the index finishes above its initial level, the payout at maturity will be par of $10 plus 125% of any gain.
If the index declines but finishes at or above the 70% trigger level, the payout will be par.
Otherwise, investors will be fully exposed to the index’s decline from its initial level.
Citigroup Global Markets Inc. is the underwriter. Morgan Stanley Wealth Management is the dealer.
