New Issue: Citigroup sells $7.16 million 7.05% equity-linked securities on S&P, Dow

Buffalo, N.Y., May 23 – Citigroup Global Markets Holdings Inc. priced $7.16 million of equity-linked securities due July 21, 2023 tied to the performance of the S&P 500 index and the Dow Jones industrial average, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes carry a coupon of 7.05% per year, payable monthly.

If each index finishes at or above 80% of its initial level, the payout at maturity will be par.

Otherwise, investors will lose 1.25% for every 1% decline of the worst performer below 80%.

Citigroup Global Markets Inc. is the underwriter.
