Chicago, May 16 – Citigroup Global Markets Holdings Inc. priced $1.09 million of equity-linked securities due Oct. 17, 2022 tied to the least performing of the shares of Bank of America Corp. and Goldman Sachs Group, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes carry a coupon of 8% per year, payable monthly.

If the final level of each stock is at least as great as 80% of its initial level, the payout at maturity will be par. Otherwise, investors will be fully exposed to the decline of the worst performing underlying, payable in shares of the laggard stock or cash at the issuer’s option.

Citigroup Global Markets Inc. is the underwriter.
