New Issue: Citi sells $1.5 million autocallable contingent coupon equity notes on ETFs

Chicago, Feb. 22 – Citigroup Global Markets Holdings Inc. priced $1.5 million of autocallable contingent coupon equity-linked securities due March 10, 2023 linked to the worst performing of the Invesco QQQ Trust, series 1 and the SPDR S&P 500 ETF trust, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes will pay a contingent monthly coupon at an annual rate of 6% if each underlier closes at or above the coupon barrier level, 75% of the initial level, on the valuation date for that period.

The notes will be automatically called at par plus the coupon if each underlier closes at or above its initial level on any monthly valuation date after six months.

If the notes are not called and each underlier finishes at or above its coupon barrier, the payout at maturity will be par plus the final coupon.

At maturity the payout will be par unless the worst performing fund closes below its initial level and ever closes below its 70% final barrier level, in which case investors will be fully exposed to the decline of the worst performing fund.
