Citigroup plans to price autocallable securities linked to S&P 500

Olympia, Wash., Aug. 24 – Citigroup Global Markets Holdings Inc. plans to price 0% autocallable securities due Aug. 31, 2023 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes will be called at par plus a call premium of 8% to 9% per year if the index closes at or above its initial level on any annual call date.

If the notes are not called and the index finishes at or above its initial level, the payout at maturity will be par plus 24% to 27%. Otherwise, investors will be exposed to any losses of the index.

Citigroup Global Markets Inc. is the agent.

The notes will price on Aug. 26.

The Cusip number is 17328WBK3.
