New Issue: Citigroup prices $2.62 million contingent coupon autocallables on two stocks

Columbus, Ohio, Aug. 20 – Citigroup Global Markets Holdings Inc. priced $2.62 million of autocallable contingent coupon equity-linked securities due Aug. 23, 2021 linked to the lesser performing of the common stocks of Amazon.com, Inc. and Target Corp., according to a 424B2 filing with the Securities and Exchange Commission.

Each quarter, the notes pay a contingent coupon at the rate of 10% per year if the lesser-performing stock closes at or above its coupon barrier value, 65% of its initial share price, on the valuation date for that quarter, plus any previously unpaid coupon.

The notes will be automatically called at par if the lesser-performing stock closes at or above its initial share price on any quarterly valuation date.

The payout at maturity will be par unless the lesser-performing stock finishes below its final barrier value, 65% of its initial share price, in which case investors will be exposed to the decline of the lesser-performing stock from its initial share price.

The notes are guaranteed by Citigroup Inc.
