Waterford $128.5 million seven-year note sale possible Sept. 24 week

St. Louis, Sept. 21 - Waterford Gaming LLC could price a $128.5 million offering of seven-year senior unsecured notes (BB-) before the end of the Sept. 24 week, according to market sources, who add that Merrill Lynch & Co. is leading the deal.

Proceeds from the Rule 144A offering would be used to fund the tender for the company's 8 5/8% senior notes due 2012 as well as to fund a distribution to the parent.

The prospective issuer is a Waterford, Conn., gaming firm.
