Chile’s AES Gener tenders for $200 million of 4 7/8%, 5¼%, 5% notes

Chicago, June 27 – AES Gener SA and wholly owned indirect subsidiary Empresa Electrica Angamos SA are tendering for up to $200 million principal amount of notes in three separate offers until 11:59 p.m. ET on July 25.

The total purchase price per $1,000 principal amount is as follows, with the notes listed in order of priority acceptance levels:

• $978.75 for the $574,829,718 of outstanding 4 7/8% notes due 2029 issued by Eléctrica Angamos with a tender cap of $100 million;

• $1,045 for the $291,682,000 of outstanding 5¼% notes due 2021; and

• $1,005 for the $172,363,000 of outstanding 5% notes due 2025.

The total purchase price includes an early tender premium of $30.00 per $1,000 principal amount of notes tendered by the early deadline of 5 p.m. ET on July 11.

Holders will also receive accrued interest to but excluding the settlement date.

Tendered notes may be withdrawn before the early deadline.

Settlement is expected to occur on July 13 for early tendered notes and on July 27 for remaining tenders.
