CPI International tenders, seeks consents for $215 million 8¾% notes

Chicago, March 3 – CPI International Inc. said it began a cash tender offer and consent solicitation for its $215 million principal amount of outstanding 8¾% senior notes due 2018.
CPI is making the tender offer and consent solicitation for amendments and waivers to the notes indenture in connection with the refinancing of the notes, according to a company announcement.
The consent solicitation will end at 5 p.m. ET on March 15, also the withdrawal deadline. The tender offer will remain open until 11:59 p.m. ET on March 29.
The total purchase price will be $1,012.50 for each $1,000 principal amount of notes tendered by the consent payment deadline.
The total amount includes a consent payment of $12.50 per $1,000 principal amount.
The issuer also will pay accrued interest to but excluding the settlement date.
Holders who tender their notes will be deemed to have given their consents. Holders may not deliver consents without also tendering notes.
The tender offer is contingent on the company securing financing for the repurchase and receiving consents and tenders from holders of a majority of the outstanding notes and execution of the supplemental indenture.
CPI said it plans to call for redemption any notes not tendered in the offer at a redemption price of 101 plus accrued interest to the redemption date.
