New Issue: Israel’s Sapiens places NIS 45.86 million 3.37% debentures due 2026

Columbus, Ohio, Sept. 18 – Sapiens International Corp. NV entered into agreements Thursday to privately place NIS 45.86 million of 3.37% nonconvertible debentures, series B, due Jan. 1, 2026 with Israeli accredited investors, according to a 6-K filing with the Securities and Exchange Commission.

The debentures were sold at 99.55% of par.

Combined with the NIS 234.14 million of the debentures sold in a public offering on Sept. 12, the private placement brings the total principal amount of the debentures to NIS 280 million.

The terms of the privately placed debentures are identical to those sold in the public offering.

The company will use proceeds for general corporate purposes, including repayment of debt, financing operations and investment activities.

The debentures will trade on the Tel Aviv Stock Exchange.

Sapiens is a Holon, Israel, software developer and supplier for the insurance industry.
