New Issue: TD Bank prices $1.38 million autocallable contingent interest buffer notes on Nasdaq, Russell, S&P

Chicago, Oct. 11 – Toronto-Dominion Bank priced $1.38 million of autocallable contingent interest buffer notes with downside leverage due Oct. 10, 2028 linked to the least performing of the Nasdaq-100 index, Russell 2000 index and S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

Each month, the notes will pay a contingent interest payment at the rate of 9.25% per year if each index closes at or above the coupon barrier level, 70% of the initial level, on the observation date for that period.

The notes will be called at par if each index closes at or above its initial level on any quarterly observation date starting after one year.

If the notes are not called, the payout at maturity will be par unless the least performing index finishes below the buffer level, 70% of the initial level, in which case investors will lose 1.4286% for each 1% loss of the laggard index’s decline beyond the 30% buffer.

TD Securities (USA) LLC is the agent.
