New Issue: TD prices $1.55 million review notes linked to S&P, Russell, Nasdaq

Chicago, April 26 – Toronto-Dominion Bank priced $1.55 million of 0% review notes due April 10, 2025 linked to the least performing of the Nasdaq-100 index, the Russell 2000 index and the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be automatically called at par plus a call premium of 8.07% per year if each index closes at or above its call level on any annual call date. For each index, the call level is equal to its initial level on the first three review dates and its step-down call level, 80% of its initial level, on the final review date.

If the notes are not called and the final level of each index is greater than or equal to its barrier level, 70% of its initial level, the payout will be par. Otherwise, investors will lose 1% for each 1% that the least-performing index declines.

TD Securities (USA) LLC is the agent. J.P. Morgan Securities LLC and JPMorgan Chase Bank, NA are the placement agents.
