Goldman plans notes on basket of Italy, Spain SMID Cap indexes

New York, June 5 – Goldman Sachs Group, Inc. plans to price 0% notes due June 24, 2015 linked to a basket containing equal weights of the MSCI Italy SMID Cap index and the MSCI Spain SMID Cap index, according to a 424B2 filing with the Securities and Exchange Commission.

The payout at maturity will be 99.2% times the sum of par plus the basket return. If the basket return is less than about 0.8%, investors will lose a portion of their principal amount.

The final index levels will be the average of the closing index levels on the five trading days ending June 19, 2015.

The notes (Cusip: 38147QA55) will price on June 6 and settle on June 11.

Goldman, Sachs & Co. is the underwriter with JPMorgan as placement agent.
