Knoxville, Tenn., March 19 - Mayfair Mining & Minerals, Inc. amended the terms of the warrants it issued in an April 2006 private placement of units, according to an 8-K filed Wednesday with the Securities and Exchange Commission.

The company is lowering the strike price of the 2,771,000 outstanding warrants to $0.25 from $0.60 and extending their maturity by one year to April 10, 2009.

The company said in the filing that none of the warrants have been exercised.
