JPMorgan plans issue of 0% principal-protected notes linked to Nikkei 225, Euro Stoxx 50

Philadelphia, Nov. 29 - JPMorgan Chase & Co. plans to price 0% principal-protected notes due Dec. 31, 2009 linked to an equally weighted basket of the Nikkei 225 and Dow Jones Euro Stoxx 50 indexes, according to an FWP filing with the Securities and Exchange Commission.

The notes are expected to price on Dec. 22 and to settle on Dec. 29.

The payout at maturity will be par plus any gain on the basket on Dec. 28, 2009 - the observation date - times a participation rate that will not be less than 110%. The participation rate will be determined at pricing. Investors will receive at least par.

JP Morgan Securities Inc. will be the agent.
