JPMorgan plans 7.5%-9.5% airbag phoenix autocallables on Amazon.com

Madison, Wis., Dec. 26 – JPMorgan Chase & Co. plans to price airbag phoenix autocallable optimization securities due June 30, 2016 linked to Amazon.com, Inc. shares, according to an FWP filing with the Securities and Exchange Commission.

The notes will pay a contingent monthly coupon at a rate of 7.5% to 9.5% per year if Amazon.com shares close at or above the coupon barrier on the monthly observation date. The coupon barrier will be 75% of the initial price.

The notes will be called at par if Amazon.com shares close at or above the initial share price on any quarterly observation date.

The payout at maturity will be par unless the final share price is less than the conversion price, in which case the payout will be a number of Amazon.com shares equal to $1,000 divided by the conversion price. The conversion price will be 85% of the initial share price.

UBS Financial Services Inc. and J.P. Morgan Securities LLC are the agents.

The notes will price on Dec. 29 and settle on Dec. 31.

The Cusip number is 48127P275.
