JPMorgan offers exchange opportunity for Alerian ETN holders

Chicago, Feb. 8 – JPMorgan Chase Financial Co. LLC is offering holders of the Alerian MLP index ETNs due May 24, 2024 (Cusip: 46625H365) an opportunity to exchange their soon-maturing notes for new Alerian MLP index ETNs due Jan. 28, 2044 (Cusip: 48133Q309), according to a 424B3 filing with the Securities and Exchange Commission.

Holders are being offered an exchange ratio of $19.03661 principal amount of old notes for one new note. The principal amount of the new note is $26.00.

The terms of the new notes are notably different from the old notes.

The offer expires at 5 p.m. ET on April 17. It started Feb. 7.

Settlement will be on April 24.

There are not any guaranteed delivery procedures. Tenders will be submitted through DTC’s ATOP procedures.

The new notes were first issued on Jan. 30. The exchange notes will be consolidated with the new issue.

The new ETNs are listed on the NYSE Arca under the ticker symbol “AMJB.” The old notes trade under the ticker symbol “AMJ.”

The notes are fully and unconditionally guaranteed by JPMorgan Chase & Co.

The dealer manager for the exchange offer is J.P. Morgan Securities LLC.

The exchange agent is Bank of New York Mellon and the trustee is Deutsche Bank Trust Co. Americas.
