Intralot tenders for 9¾% notes due 2018, will call any not tendered

New York, Sept. 14 – Intralot Finance Luxembourg SA announced a cash tender offer for its €276,682,000 of 9¾% senior notes due 2018.

The company is offering to buy the notes at €1,051.55 per €1,000 principal amount plus accrued interest up to but excluding the settlement date.

Holders may submit tenders until the expiration deadline of 5 p.m. ET on Sept. 20, according to a notice.

The amount outstanding excludes €48,318,000 of notes which were held by the company and canceled on Tuesday.

Intralot also said that it has issued a conditional notice of redemption for the notes.

Any securities not tendered will be redeemed on Oct. 14 at 104.875% of par plus accrued interest up to but excluding the redemption date.

Intralot is carrying out the tender as part of a refinancing which includes an offering of new notes due 2021 by Intralot Capital Luxembourg SA.

The tender carries a financing condition.
