Intercontinental Exchange announces redemption for senior notes

Chicago, May 12 – Intercontinental Exchange Inc. announced the redemption of several series of senior notes due 2022 and 2023 on Thursday after pricing a new $8 billion offering of notes in six parts, according to a press release.

The company delivered a notice of redemption for noteholders to trustee Computershare Trust Co., NA for the:

• $500 million 2.35% senior notes due Sept. 15, 2022;

• $400 million 3.45% senior notes due Sept. 21, 2023;

• $1 billion 0.7% senior notes due June 15, 2023; and the

• $800 million 4% senior notes due Oct. 15, 2023.

The 0.7% senior notes due June 15, 2023 will be redeemed on May 24.

The 2.35% senior notes due Sept. 15, 2022, the 3.45% senior notes due Sept. 21, 2023 and the 4% senior notes due Oct. 15, 2023 will be redeemed on June 12, in each case, in accordance with the terms of the respective indentures governing each of the 2022 and 2023 notes.

ICE intends to use the proceeds of the newly priced 2033 notes and the 2052 notes, together with cash on hand or other immediately available funds, to fund the redemption of the 2022 and 2023 notes.
