Dominion Energy to offer senior notes due 2032, 2052

Lexington, Ky., Aug. 9 – Dominion Energy Inc. is planning an offering of 2022 series A senior notes due 2032 and 2022 series B senior notes due 2052, according to a 424B5 filing with the Securities and Exchange Commission.

The series A notes will mature on Aug. 15, 2032. The series B notes will mature on Aug. 15, 2052.

The series A notes are callable at a make-whole premium prior to the par call date of May 15, 2032. They are callable at par for the final three months.

The series B notes are callable at a make-whole premium prior to Feb. 15, 2052, six months before maturity. They are callable at par for the final six months.

BNP Paribas Securities Corp., BofA Securities, Inc., Credit Suisse Securities (USA) LLC and Wells Fargo Securities, LLC are acting as joint bookrunners in connection with the offering.

Deutsche Bank Trust Co. Americas is the trustee.

McGuireWoods LLP will act as Prudential’s counsel and Troutman Pepper Hamilton Sanders LLP will be counsel to the bookrunners.

Proceeds will be used for general corporate purposes and to repay short-term debt. As of July 31, this included $1.9 billion in outstanding commercial paper with a weighted average yield of 2.52% per year and a weighted average days to maturity of approximately 17 days.

Dominion Energy is a Richmond, Va.-based electric and natural gas energy company.
