JPMorgan to price contingent coupon autocallable yield notes on Celgene

Columbus, Ohio, Dec. 14 – JPMorgan Chase Financial Co. LLC plans to price contingent coupon autocallable yield notes due Dec. 20, 2018 linked to Celgene Corp. shares, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

The notes will pay a contingent quarterly coupon at an annual rate of 11.25% if Celgene stock closes at or above the 75% coupon barrier on the observation date for that quarter.

The payout at maturity will be par plus the final coupon unless Celgene finishes below the 75% trigger level, in which case investors will be fully exposed to any losses.

The notes will be called at par if the stock closes at or above initial level on any observation date other than the final date.

The notes (Cusip: 46646QFM2) will price on Dec. 16 and settle on Dec. 21.
