Gamco backs group's bid for representation on Cavalier Homes' board

Charlotte, N.C., May 6 - Shareholder Gamco Investors Inc. urged Cavalier Homes, Inc. to add two of the Cavalier Homes Committee for Change nominees - Kenneth E. Shipley and Curtis D. Hodgson - to its board of directors, according to a schedule 13D/A filed on Wednesday with the Securities and Exchange Commission.

Cavalier could add Shipley and Hodgson by substituting at least one incumbent director or by increasing the size of its board, the filing said.

Gamco said it would vote its Cavalier shares for a combined slate that includes the company's candidates, Shipley and Hodgson at the annual meeting on May 19.

Should the shareholder group reject such an offer, Gamco plans to vote for Cavalier's slate.

However, if Cavalier is unwilling to add Shipley and Hodgson to the board, Gamco said it intends to vote for the slate proposed by the dissident group.

Cavalier Homes Committee for Change previously announced it would nominate Shipley, Hodgson and Michael R. O'Connor.

Shipley and Hodgson are co-founders of mobile home financing and manufacturing company Legacy Housing, Ltd. O'Connor is a former field manager for mobile and manufactured home company Clayton Mobile Homes.

Hodgson previously denied that Legacy is interested in pursuing a merger at this time with Cavalier, an Addison, Ala., manufactured home company.
