Carlisle Goldfields arranges C$2.02 million private placement of units

Flow-though units sold through Canaccord with C$2 million greenshoe

Knoxville, Tenn., June 27 - Carlisle Goldfields Ltd. said it will conduct a C$2.02 million private placement of units. Canaccord Genuity Corp., the agent, has a C$2 million greenshoe.

The company will sell 11.2 million units of one flow-though share and one half-share warrant at C$0.18 per unit.

Each whole warrant will be exercisable at C$0.25 for two years. The strike price reflects a 47.06% premium to the June 26 closing share price of C$0.17.

Settlement is expected July 17.

Proceeds will be used for exploration.

"This additional capital will provide Carlisle with an aggregate of approximately C$3 million in funds, which can be used to continue the company's exploration and development program at its five principle gold projects that comprise its larger Lynn Lake land package near Lynn Lake, Man.," Carlisle president Bruce Reid said in a press release. "This additional capital will fund us through a substantial drill program as well as four more new resource estimates on the Burnt Timber, Linkwood, Last Hope and Farley Lake projects during 2012."

Based in Toronto, Carlisle explores for gold.
