Convertibles Calendar: Molycorp, Integra LifeSciences to price deals

MOLYCORP INC. (NYSE: MCP): $200 million of five-year convertible senior notes; pricing Thursday after the market close; price talk revised to 3%-3.5%, up 37.5%-40%, from original talk of 3.25%-3.75%, up 27.5%-32.5%; Rule 144A; $30 million greenshoe; concurrent registered offering of 10 million shares of common stock; both deals via J.P. Morgan Securities LLC and Morgan Stanley & Co. Inc.; non-callable; no puts; takeover and dividend protection; proceeds for production capacity and expansion plan at its Mountain Pass, Calif., processing facility and for general corporate purposes; Greenwood Village, Colo.-based producer of rare earth oxides.

INTEGRA LIFESCIENCES HOLDINGS CORP. (Nasdaq: IART): $200 million of five-year convertible senior; pricing late Thursday; Rule 144A deal; talked at a 1.25%-1.75%, up 22.5%-27.5%; $30 million greenshoe; via joint bookrunners J.P. Morgan Securities LLC, Morgan Stanley & Co. Inc., Bank of America Merrill Lynch, Deutsche Bank Securities Inc., Wells Fargo Securities LLC and RBC Capital Markets LLC; concurrent convertible note hedge transactions; proceeds for at least $40 million of common share purchases, to repay some of Integra's senior credit facility and for general corporate purposes; Plainsboro, N.J.-based maker and marketer of surgical implants and medical instruments for neurosurgery, extremity reconstruction and orthopedics.
