New Issue: Citi sells $2.32 million contingent coupon autocalls on three stocks

Morgantown, W.Va., March 14 – Citigroup Global Markets Holdings Inc. priced $2.32 million of autocallable contingent coupon equity linked securities due March 4, 2021 linked to the worst performing of the shares of Chipotle Mexican Grill, Inc., Netflix, Inc. and Microsoft Corp., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Global Markets Inc.

Each quarter, the notes will pay a contingent coupon at an annual rate of 15.6% if each stock closes at or above its 60% coupon barrier on the observation date for that quarter.

The notes are called at par if each stock closes at or above its initial level on any quarterly determination date after six months.

The payout at maturity will be par plus the contingent coupon unless any stock finishes below its 60% barrier level, in which case investors will receive a number of shares of the worst performing stock equal to $1,000 divided by that stock’s initial share price or, at the issuer’s option, the cash value of those shares.
