Community Health calls 5 1/8% senior secured notes subject to tender

New York, March 6 – Community Health Systems, Inc. said it will redeem the $700 million of 5 1/8% senior secured notes due 2018 issued by subsidiary CHS/Community Health Systems, Inc.

The notes will be repaid on April 3 at $1,012.81 per $1,000 principal amount plus accrued interest up to but excluding the redemption date, according to a notice from the issuer.

CHS/Community Health is conducting a tender for the notes which began on March 2.

Holders who take part will receive $1,014.25 per $1,000 principal amount for the notes, an amount which includes an early tender premium of $30.00 per $1,000 that will only be paid to those who submit their notes for purchase before 5 p.m. ET on March 15.

After the early tender date, the payment will be $984.25 per $1,000 principal amount.

The tender ends at 11:59 p.m. ET on March 29.

Community Health will also pay accrued interest up to but excluding the payment date.

Settlement of early tenders is planned for March 16.
