China Shanshui reports possible document theft after premises takeover

Pittsburgh, Dec. 31 – China Shanshui Cement Group Ltd. reported to police the possible theft or unlawful removal of company books, records and important documents, according to a news release.

The police report was made on Dec. 28.

China Shanshui said its premises were under the control of directors that were removed at a Dec. 1 extraordinary general meeting at all times after that meeting.

After the company took back possession of the premises from the removed directors, China Shanshui said it “conducted a thorough search within the premises and is unable to locate certain books, records and important documents including the relevant company stamps, seal etc. or retrieve any electronic data from the company’s computers.

The company said the books, records and important documents/data in question belong to it and wholly owned subsidiaries China Shanshui Cement Group (Hong Kong) Co. Ltd. and China Pioneer Cement (Hong Kong) Ltd.

China Shanshui and the Hong Kong subsidiaries made enquiries with each of the removed directors and have not received a positive response, according to the release.

As previously reported, the removed directors are Zhang Bin, Chang Zhangli, Lee Kuan-chun, Cai Guobin, Ou Chin-Der, Wu Ling-ling, Zeng Xuemin and Shen Bing.

Crime bureau investigation

According to a separate news release, the Commercial Crime Bureau of the Hong Kong Police has taken up the report of the company regarding the loss of books, records, important documents and electronic data.

The company said it was reported by Shandong Shanshui Cement Group Co. that its former director Chen XueShi, “together with a group of gangsters, barged into the headquarters by force on Dec. 27, destroyed the properties in the offices therein and assaulted the employees of Shandong Shanshui.”

China Shanshui said the matter was instantly reported to the local police and the Jinan Government. Chen XueShi and the gangsters were taken by the local police for questioning and investigation.

The company said Shandong Shanshui has resumed its normal operation and production.

Takeover update

As of Dec. 31, China Shanshui said it had taken over 100 factories of Shandong Shanshui, including the control of Shandong Cement Factory.

However, the company said former Shandong Shanshui directors Zhang Caikui, Zhang Bin and Huang Kehua still illegally occupy the head office and five factories of Shandong Shanshui and illegally retain the important documents.

Since the company documents are illegally retained, China Shanshui said Jinan Administration for Industry & Commerce refuses to proceed with the application for change of directors of Shandong Shanshui.

According to a release, China Shanshui Cement Group (Hong Kong) Co. Ltd. and China Pioneer Cement (Hong Kong) Co. Ltd. have carved new seals and chops, and all the stolen seals and chops are invalid.

The cement manufacturing company is based in Jinan, China.
