Bio-Rad to sell dollar senior notes via seven bookrunners

Concord, N.H., Feb. 23 – Bio-Rad Laboratories Inc. plans to price dollar-denominated senior notes via seven bookrunners, according to a 424B5 filing with the Securities and Exchange Commission.

Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, BofA Securities Inc., HSBC Securities (USA) Inc., MUFG and Wells Fargo Securities LLC are joint bookrunners of the deal.

The notes (expected rating: BBB) have a make-whole call followed by a par call.

There is a change-of-control put at 101.

The trustee is Wilmington Trust, NA.

Legal counsel to the company is provided by Gibson, Dunn & Crutcher LLP. Counsel to the underwriters is Weil, Gotshal & Manges LLP.

Proceeds are for general corporate purposes, including working capital and capital expenditures, and for mergers and acquisitions.

The distributor of research and clinical diagnosis equipment is based in Hercules, Calif.
